What is primary market?
When companies or governments want to raise capital from the public, they issue securities sold in the primary market.
Once the securities are issued in the primary market, they are generally traded in the secondary market.
The capital market is made up of the primary and secondary markets.
Types
An IPO isn’t the only way to offer new stocks to people. There are a couple of other ways too.
There’s something known as a rights issue that companies carry out. In this, they offer new stocks of the company to existing shareholders.
Companies may even carry out a private placement in which stocks are offered to select investors.
Functions
There are mainly 3 functions of the primary market. The first function is that of offering. The second is underwriting, and the third is distribution.
(Explained in detail in the video)
Advantages and disadvantages
Raising capital in the primary market costs little. The company can use the money saved elsewhere.
Securities are very liquid in the primary market. There’s also no market manipulation and price fluctuations.
Coming to the disadvantages, investors do not get details of the securities until the IPO.
Even though the primary market is less risky overall, the degree of risk would differ from security to security.
